Terms of Service

1. Acceptance of Terms

By creating an account or using the Opyrion application at app.opyrion.com (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. Description of Service

Opyrion is a web-based business management platform that provides tools for sales, purchases, inventory, production, financial tracking, task management, and reporting. The Service is provided on a subscription basis.

3. Account Registration

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must be at least 16 years of age to use the Service.
  • One person or legal entity may not maintain more than one account.

4. Subscription & Payment

4.1 Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start a trial. After 14 days, your account will be locked and read-only until you activate a paid subscription. Trial periods are available once per account and are non-transferable.

4.3 Plans & Pricing

The Service is offered under paid subscription plans (monthly or yearly). Current pricing is listed on our website at opyrion.com. All amounts are in Euros (€) and may be subject to VAT depending on your location and tax status. We reserve the right to change pricing with 30 days’ notice to existing subscribers.

4.4 Billing

All payments are processed by Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring basis according to your chosen plan. All amounts are in Euros (€).

4.5 Cancellation

You may cancel your subscription at any time from your account settings or through the Stripe Customer Portal. Upon cancellation:

  • Your access continues until the end of the current billing period.
  • No partial refunds are provided for unused time within a billing period.
  • Your data is retained and accessible if you choose to resubscribe.

4.6 Refunds & EU Consumer Withdrawal Right

We do not offer refunds for subscription fees already charged. However, under EU Directive 2011/83/EU (Consumer Rights Directive), consumers have a statutory 14-day right of withdrawal from distance contracts. Because the Service is a digital service that begins immediately upon registration (including during the free trial), by creating your account you expressly request immediate performance of the Service and acknowledge that your right of withdrawal is lost once the Service has begun. This does not affect any statutory rights you may have under applicable law.

If you believe a charge was made in error, contact us at support@opyrion.com within 14 days of the charge.

5. Your Data

5.1 Ownership

You retain all rights to the data you enter into the Service. We do not claim ownership of your business data, including but not limited to: client records, supplier records, inventory items, orders, invoices, financial records, tasks, events, and settings.

5.2 Data Use

We access your data only to provide and maintain the Service. We do not sell, share, or use your data for advertising, profiling, or any purpose other than operating the Service. See our Privacy Policy for full details.

5.3 Data Deletion

You may request permanent deletion of your account and all associated data by contacting privacy@opyrion.com. Account deletion is irreversible.

5.4 Data Processing

When you enter personal data about third parties (such as your clients, employees, or suppliers) into the Service, you act as the data controller of that personal data and Opyrion acts as your data processor. By using the Service, you confirm that you have a lawful basis to process that data and that you have provided any required notices to those individuals. See our Privacy Policy for details.

6. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to other users' accounts or data
  • Interfere with or disrupt the Service or its infrastructure
  • Reverse-engineer, decompile, or attempt to extract the source code of the Service
  • Use automated scripts, bots, or scrapers to access the Service
  • Share your account credentials with third parties
  • Resell access to the Service without our written consent

We reserve the right to suspend or terminate accounts that violate these terms.

7. Availability & Support

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime in advance.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" without warranty of any kind, express or implied.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
  • Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for any loss of data, revenue, profits, or business opportunities resulting from your use of the Service.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities, and expenses (including legal fees) arising from your use of the Service or your violation of these Terms.

10. Intellectual Property

The Service, including its design, code, branding, and documentation, is our intellectual property or that of our licensors. You are granted a limited, non-exclusive, non-transferable license to use the Service for the duration of your subscription.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or an in-app notice at least 30 days before they take effect. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Cyprus. Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of the Republic of Cyprus.

If you are a consumer resident in another EU member state, you may also be entitled to bring proceedings in the courts of your country of residence, and mandatory consumer protection provisions of your local law may apply.
